Terms of Service

These Terms of Service form a legally binding agreement between you and ListSage, doing business as ListSage. In these Terms, “ListSage,” “we,” “us,” and “our” refer to that business. “Services” refers to the ListSage marketing website, application, listing-generation tools, and related products, features, communications, and support.

By creating an account, purchasing credits, accessing the application, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Services.

If you use ListSage on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf. In that case, “you” includes both you and the organization.

The Services are not intended for children under 13.

2. Accounts

You may need to create an account to access some or all of the Services. You agree to provide accurate, current, and complete information and to keep that information updated.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You may not share, sell, transfer, or allow another person to use your account in a way that compromises its security or circumvents our pricing.

Notify us promptly at support@listsage.ai if you believe your account has been accessed without authorization.

3. The Services

ListSage helps ecommerce sellers create product-listing content for marketplaces and ecommerce platforms. Depending on the features available, you may provide product details, upload images, paste an existing listing URL, select marketplaces, define a brand voice, and receive generated listing content.

Generated content may include product titles, descriptions, keywords, tags, attributes, marketplace fields, formatting, recommendations, and related listing materials.

ListSage may ask questions or request additional product information before generating a listing. You are responsible for providing accurate and complete answers.

Features, supported marketplaces, output fields, and generation methods may change as marketplace requirements and the Services evolve.

4. Credits and Purchases

Credit-based access

ListSage uses a credit-based purchasing model. ListSage does not charge a recurring subscription fee unless a separate subscription product is clearly offered and accepted by you in the future.

Under the current credit model, one credit allows you to create one product workspace and generate listings for the marketplaces selected for that product, subject to the features and limits shown at the time of use.

The contents of a product workspace, available marketplaces, and included listing variations may be further described on our pricing page or within the application. The information presented at checkout controls the specific credit package you purchase.

Credit packages

You may purchase credits in the quantities and at the prices shown at checkout. Prices may change at any time, but a price change will not alter credits you have already purchased.

Credits:

• Are connected to your ListSage account;
• Are not legal tender or stored monetary value;
• Have no cash value outside of the Services;
• May not be sold, transferred, traded, or exchanged;
• May be used only for eligible ListSage features; and
• Do not expire while your account remains in good standing.

Credits may be removed if they were issued or obtained through fraud, payment reversal, chargeback, technical error, misuse, or violation of these Terms.

Promotional and free credits

We may provide free or promotional credits. Promotional credits may be subject to additional limits disclosed when they are offered and may be modified or discontinued where permitted by law.

Promotional credits have no cash value and are not refundable or transferable.

Payments

Payments are processed by Stripe or another payment provider identified at checkout. You authorize the applicable provider to charge your selected payment method for the total amount shown at checkout, including applicable taxes.

You represent that you are authorized to use the payment method you provide. We may delay or withhold credits if a payment is declined, reversed, disputed, or suspected of fraud.

Taxes

Prices may not include applicable sales, use, value-added, or similar taxes unless stated otherwise. You are responsible for taxes associated with your purchase except for taxes imposed on ListSage’s income.

5. Refunds

Except where required by law, credit purchases are final and non-refundable after any credit from the purchased package has been used.

If you purchased a credit package accidentally and none of the credits from that package have been used, contact support@listsage.ai within seven days of purchase. We will review the request and may issue a refund at our discretion.

Refunds are not available for:

• Credits that have already been used;
• Partially used credit packages;
• Dissatisfaction caused by inaccurate or incomplete user input;
• A marketplace’s rejection, removal, ranking, or performance of a listing;
• Promotional or complimentary credits;
• Account suspension or termination resulting from misuse; or
• Changes in marketplace rules outside ListSage’s control.

Nothing in this section limits any refund or cancellation rights that cannot legally be waived.

6. Your Content

“Customer Content” includes product information, photographs, graphics, documents, trademarks, business information, brand-voice instructions, existing listings, URLs, messages, and other materials you submit to the Services.

You retain ownership of your Customer Content. You grant ListSage a limited, non-exclusive, worldwide license to host, store, reproduce, analyze, modify, transmit, and process Customer Content only as reasonably necessary to:

• Provide and operate the Services;
• Generate and save your listings;
• Display your products and account history to you;
• Provide support and troubleshoot problems;
• Maintain security and prevent misuse; and
• Comply with legal obligations.

This license ends when the Customer Content is deleted from our active systems, except where limited retention is reasonably necessary for backups, security, legal compliance, dispute resolution, or enforcement.

You represent and warrant that:

• You own Customer Content or have permission to submit and use it;
• Customer Content does not infringe another party’s rights;
• Customer Content is accurate and not misleading;
• Your submission and use of Customer Content complies with applicable laws and marketplace policies; and
• Customer Content does not contain information you are prohibited from sharing.

Product-image retention

Uploaded product images associated with an inactive account may be deleted after 24 months of inactivity. Text-based product information and generated listings may be retained for longer so that they remain available if you return, unless you request deletion or we determine continued retention is no longer reasonably necessary.

You should maintain your own copies of important product images and listing materials. ListSage is not a permanent image-storage or backup service.

7. Generated Content

Subject to these Terms and to the extent permitted by applicable law, you may use, edit, copy, publish, and commercialize listing content generated for you through the Services.

Because the Services use artificial intelligence and automated systems:

• Generated content may contain errors, omissions, or inaccuracies;
• Generated content may not be unique and similar content may be generated for other users;
• ListSage cannot guarantee that generated content is eligible for copyright or other intellectual-property protection;
• Suggestions may not reflect the latest change made by a marketplace; and
• Generated content may require review, editing, or additional information before publication.

Before publishing generated content, you are responsible for reviewing and confirming:

• Product names, materials, dimensions, quantities, and variations;
• Prices, shipping details, availability, and processing times;
• Safety information, warnings, instructions, and age restrictions;
• Health, environmental, performance, sustainability, or other product claims;
• Trademark, copyright, patent, and publicity-right compliance;
• Marketplace rules and prohibited-product policies; and
• Any legally required disclosures or qualifications.

You are solely responsible for the listings and representations you ultimately publish and for products you offer or sell.

8. Acceptable Use

You may not use the Services to:

• Violate any law, regulation, court order, or marketplace policy;
• Create false, deceptive, fraudulent, defamatory, or misleading listings;
• Make unsupported medical, health, safety, environmental, financial, or performance claims;
• Sell or promote illegal, counterfeit, stolen, infringing, or prohibited products;
• Infringe copyrights, trademarks, patents, publicity rights, privacy rights, or other rights;
• Upload malware, malicious code, or content intended to disrupt the Services;
• Attempt to gain unauthorized access to an account, system, or network;
• Scrape, crawl, reverse engineer, decompile, copy, or extract the Services except where such restrictions are prohibited by law;
• Circumvent usage limits, security controls, credit requirements, or access restrictions;
• Use automated methods to access the Services without our written permission;
• Resell, sublicense, white-label, or commercially provide access to the Services without our written permission;
• Impersonate another person or misrepresent your identity or affiliation;
• Use the Services to harass, exploit, threaten, discriminate against, or harm another person; or
• Interfere with the operation, security, availability, or integrity of the Services.

We may investigate suspected violations and remove content, restrict features, suspend accounts, or terminate access where reasonably necessary.

9. Third-Party Marketplaces and Services

ListSage is an independent service and is not affiliated with, endorsed by, sponsored by, or operated by Etsy, Shopify, Amazon, TikTok Shop, or any other marketplace unless expressly stated.

Marketplace names and trademarks belong to their respective owners.

Your use of a marketplace or third-party service is governed by that third party’s own terms, policies, fees, and requirements. ListSage does not control and is not responsible for:

• Marketplace policy changes;
• Listing approval, rejection, suspension, or removal;
• Account warnings, restrictions, or termination;
• Marketplace search results or ranking systems;
• Third-party outages, errors, or integrations;
• Marketplace fees or seller obligations; or
• Transactions between you and your customers.

You are responsible for reviewing the current requirements of every marketplace on which you publish or sell.

10. ListSage Intellectual Property

The Services, including the ListSage name, Sage the Owl character, logos, visual design, software, databases, workflows, prompts, templates, interfaces, documentation, text, graphics, and other ListSage materials, are owned by ListSage or its licensors and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your own lawful business purposes.

These Terms do not transfer ownership of the Services or ListSage intellectual property to you.

11. Feedback

You may voluntarily provide ideas, suggestions, feature requests, or other feedback. You grant ListSage the right to use feedback without restriction or compensation to you.

This provision does not transfer ownership of your product photographs, listings, trademarks, or other Customer Content.

12. Availability and Changes to the Services

We work to keep ListSage available and reliable, but we do not guarantee uninterrupted, error-free, or continuous access.

We may update, modify, add, suspend, or discontinue features to improve the Services, respond to legal or security concerns, accommodate marketplace changes, or manage business operations.

If ListSage permanently discontinues the Services while your account contains unused purchased credits, we will provide reasonable notice and a reasonable opportunity to use those credits or request an appropriate remedy, subject to applicable law.

13. Suspension and Termination

You may stop using the Services at any time. You may request account deletion by contacting support@listsage.ai.

We may suspend or terminate your access if:

• You materially or repeatedly violate these Terms;
• Your use creates legal, security, or operational risk;
• Payment is reversed, disputed, fraudulent, or unauthorized;
• We are required to do so by law or a service provider;
• Your account is used to harm ListSage, another user, or a third party;
• You attempt to circumvent credit or usage restrictions; or
• We discontinue the Services.

Where appropriate, we may provide notice and an opportunity to correct a violation before termination. Immediate action may be taken where reasonably necessary to prevent fraud, harm, security risk, or legal exposure.

Purchased credits may be forfeited when an account is terminated because of fraud, chargeback abuse, unlawful conduct, or a material violation of these Terms.

Provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, payment obligations, disclaimers, liability, indemnification, and dispute resolution.

14. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

ListSage disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent permitted by law.

We do not warrant or guarantee that:

• The Services will always be available, secure, or error-free;
• Generated content will be complete, accurate, original, or unique;
• A listing will comply with every marketplace rule;
• A marketplace will accept or retain a listing;
• Use of ListSage will improve traffic, ranking, visibility, conversion, revenue, or sales;
• Specific keywords will produce a particular result;
• Generated content will be free from third-party claims; or
• The Services will meet every business or legal requirement.

ListSage does not provide legal, tax, financial, medical, safety, or regulatory advice. You should consult an appropriate professional where necessary.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

15. Limitation of Liability

To the fullest extent permitted by law, ListSage and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings.

This limitation applies to claims arising from or related to:

• Your use of or inability to use the Services;
• Generated content or decisions based on generated content;
• Marketplace rejection, suspension, removal, or ranking;
• Errors or omissions in product listings;
• Unauthorized account access;
• Third-party services, platforms, or conduct; or
• Loss or deletion of Customer Content.

To the fullest extent permitted by law, ListSage’s total liability for all claims arising from or relating to the Services will not exceed the greater of:

• The amount you paid to ListSage during the 12 months before the event giving rise to the claim; or
• One hundred U.S. dollars.

These limitations apply regardless of the legal theory and even if ListSage was advised that damages were possible.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ListSage and its owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, damages, losses, and reasonable legal expenses arising from or relating to:

• Your Customer Content;
• Your products, listings, claims, sales, or customer transactions;
• Your violation of these Terms;
• Your violation of law or marketplace policies;
• Your infringement of another person’s rights; or
• Your misuse of the Services.

We reserve the right to control the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.

17. Governing Law and Disputes

These Terms and disputes arising from them are governed by the laws of the State of California, without regard to conflict-of-law principles.

Before filing a formal claim, you agree to contact us at support@listsage.ai and provide a reasonable opportunity to resolve the issue informally.

Unless applicable law provides otherwise, legal proceedings arising from these Terms or the Services must be brought in the state or federal courts located in the California county where ListSage maintains its principal place of business. You consent to the jurisdiction and venue of those courts.

Nothing in this section prevents either party from seeking relief in small claims court where eligible or seeking urgent injunctive relief to protect intellectual property, confidential information, security, or system integrity.

18. Changes to These Terms

We may update these Terms to reflect changes to the Services, our business practices, marketplace requirements, technology, or applicable law.

When we update these Terms, we will revise the “Last updated” date at the top of this page. If a change materially affects your rights, we may provide additional notice by email, through the application, or by another reasonable method.

Unless otherwise stated, updated Terms become effective when posted. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

19. General Provisions

Entire agreement

These Terms, our Privacy Policy, and any additional terms presented at checkout or within a specific feature form the entire agreement between you and ListSage regarding the Services.

Order of precedence

If additional terms for a specific feature conflict with these Terms, the additional terms control only for that feature.

Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or removed, and the remaining provisions will remain in effect.

No waiver

A failure to enforce a provision of these Terms is not a waiver of the right to enforce it later.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or similar transaction, or to an affiliate.

No third-party beneficiaries

These Terms do not create rights for any third party except as expressly stated.

Electronic communications

You agree that notices and communications may be delivered electronically, including by email, within the application, or by posting them on the Services.
